Part A: The basics

1. Who we are and what these Terms cover

1.1 Legal That Works is the business brand of Messrs Akmal Saufi & Co, a Malaysian law firm ("the Firm", "we", "us", "our").

1.2 These Terms of Use ("Terms") govern your use of the Legal That Works SME agreement platform at app.legalthatworks.com and the related pages on legalthatworks.com ("the Platform"), and the services you can buy or use through it:

  • Pay per draft (Part B): an agreement draft built from your answers, for a fee paid before you answer the detail questions.
  • Retainer plans (Part C): a set number of drafts each month, for a fee paid in advance.
  • Templates and reissues (Part D): save a draft as a template and use it again for a new party.
  • Lawyer review and consultations (Part E): a booked session with one of our lawyers.

1.3 "You" means the person using the Platform and, where that person acts for a business, that business too. If you use the Platform for a business, you confirm that you are allowed to bind it, and that it accepts these Terms.

1.4 By creating an account, starting a draft, paying for a service, joining a Plan or saving a template, you agree to these Terms. If you do not agree, please do not use the Platform.

1.5 Our Privacy Policy is a separate document. You are asked to agree to it at your first sign-in. It explains how we handle your personal data under the Personal Data Protection Act 2010.

1.6 When you add a lawyer review, book a consultation or otherwise engage the Firm for legal services, the Firm's Terms of Engagement also apply to that legal work. If these Terms and the Terms of Engagement disagree about legal work, the Terms of Engagement win for that work.

2. What the Platform is, and what it is not

2.1 The Platform turns your answers to plain-language questions into a first draft of a business agreement. Every clause in the draft was written and approved in advance by lawyers at the Firm. Fixed rules, also written by lawyers, choose which clauses go in based on your answers and fill in the blanks. No clause is written by artificial intelligence at the time you draft, and no clause is machine-translated.

2.2 A draft is not legal advice. It is a general first draft prepared only from your answers. It cannot weigh the circumstances of your business, and no lawyer reviews your individual answers unless you buy a lawyer review. The draft may not suit your situation. Please get legal advice before you sign or rely on it.

2.3 Using the Platform to generate a draft does not make you a client of the Firm. No solicitor and client relationship arises from buying a draft, holding a Plan or saving a template on its own. A solicitor and client relationship arises only when the Firm accepts an engagement for legal services, for example a lawyer review session, a consultation or a call under the support group in clause 16.2, and then only for that work.

2.4 We do not promise any outcome for any agreement, that the other side will accept the draft, or that the draft will be enforceable in your particular circumstances.

2.5 The Platform is designed for agreements governed by Malaysian law, between parties in Malaysia, for work done in Malaysia. Where you tell us that another country is involved, or that your activity may need a licence or approval, we have not checked foreign law or those licensing rules. You will be asked to acknowledge this before you pay (clause 7).

2.6 Some matters are not offered as a draft at all, including buying or selling property, security or debentures, and changing or extending an agreement you have already signed. When your answers lead there, the Platform will say so and offer a consultation instead. Nothing is charged.

3. Your account

3.1 You can browse the agreements, the Agreement Finder and the prices without an account. To start a draft, save a template or join a Plan, you need an account.

3.2 Sign-in is by email and a one-time code. There is no password. Keep your email account secure. Anything done on the Platform after signing in with a code sent to your email is treated as done by you.

3.3 You must give a real email address that you control, and keep it up to date. We send reminders and notices about your drafts and your Plan to that address.

3.4 Your account may belong to an organisation. People in the same organisation can see each other's agreements, templates and Plan on the Platform. Do not share an account between businesses.

3.5 Tell us at once at help@ascolaw.co if you think someone else has used your account.

4. Your saved profiles and your answers

4.1 You can save a business profile and a personal profile so that new drafts start with your details filled in. You can check and change every answer before you confirm.

4.2 You are responsible for your answers. The draft is only as accurate as what you tell us. Check names, registration numbers, amounts, dates and who is signing before you confirm. Once you confirm, your answers are locked in and the draft is built from them.

4.3 You must have the right to give us any information you enter about another person or business, and that information must be true as far as you know.

5. Languages

5.1 The Platform and every draft are available in English and Bahasa Malaysia. Every clause has a matching version in both languages. You choose the language of your draft before you confirm.

5.2 These Terms are published in English and Bahasa Malaysia. If the two versions differ, the English version prevails.

Part B: Pay per draft

6. How you buy a draft

6.1 Choose. Pick an agreement, or let the Agreement Finder suggest one. The outline shows what the agreement is for, who it is for, what it is not for, the headings it will have, and the price.

6.2 The price. Every price is shown in Ringgit Malaysia and includes Sales and Service Tax (SST). The price shown on your outline is held for 30 days. If you come back after that and the price has changed, we show you the new price before you pay.

6.3 Pay. You pay before the detail questions open. Payment is made online through our payment provider. We do not see or store your card details. A draft without a Plan costs the price shown for it on the outline (RM250 at the date of these Terms).

6.4 Answer. After payment, the detail questions for your agreement open for 60 days from the day you paid. Every answer is saved, so you can stop and come back.

6.5 Confirm. Review your answers, then confirm. There is no second payment. We then build your draft, usually within minutes.

6.6 Download. Your draft is delivered as an editable Word file in your account. You may download it as often as you need while your account is open. If a draft is rebuilt, the new file appears as a new version.

6.7 Bundles. (a) A bundle gives your company one credit for each agreement named in it. Each credit covers one Draft only of that agreement. It cannot be used for another agreement, for lawyer review, or by another company. (b) Credits can be used for 12 months from the day the bundle is paid; the last day is shown when you pay and on My agreements. Credits not used by then expire. (c) Bundles are not refundable, in whole or in part, including credits you do not use. (d) No promo code, collaboration rate or member price applies to a bundle. (e) A bundle offer may be limited in time or in number. You pay the price shown when you press Pay now; if the offer has ended or sold out before then, we tell you and take no payment.

7. Notices and acknowledgements before you pay

7.1 Depending on your answers, the Platform shows notices before payment, for example that another country is involved, that your activity may be regulated, or that your deal is above RM1 million and we strongly suggest a lawyer review.

7.2 You must tick each acknowledgement that applies before you can pay. We keep a record of each tick, with the exact words shown and the time. These records form part of the agreement between us.

8. The 60-day window, expiry and no refunds

8.1 Fees are paid in advance and are not refundable. You acknowledge this when you pay.

8.2 You have 60 days from payment to complete the detail questions and confirm. We send reminders to your account email at about day 30, day 50 and day 57, and a notice when the draft expires. It is your responsibility to keep your email working and to check it.

8.3 If you do not confirm within 60 days, your draft expires. The fee is not refunded, and the draft cannot be completed. We may, at our discretion and on request, extend or reopen an expired draft, but we are not obliged to.

8.4 Expiry does not apply where we are unable to deliver your draft (clause 9). In that case we deal with your fee as set out in clause 9.

8.5 Starting the same agreement again before paying replaces your earlier unpaid order. Nothing is charged for an unpaid order.

9. If we cannot produce your draft

9.1 Occasionally your answers after payment may fall outside what our rules can safely draft. If that happens, the Platform tells you, our team is notified, and we contact you about the next step. Nothing happens automatically.

9.2 In that case we will, at our choice after speaking with you, do one of the following: offer to upgrade you to a lawyer review, offer a consultation, or refund the fee you paid for that draft. This is the only situation in which a draft fee is refundable.

9.3 If a payment is taken but the agreement is no longer available, we refund that payment in full.

10. What you may do with your draft

10.1 Once delivered, the draft is yours to use for your own business: edit it, share it with the other side, or send it to your own lawyer.

10.2 You may not resell the draft, offer it as a template to others, or use the Platform or its drafts to build a clause library, a template service or a competing product. The clause wording remains the Firm's intellectual property (clause 24).

11. Drafts prepared by our team for you

11.1 Where the Firm prepares a draft for you as part of separate legal work, it may appear in your Platform account once our team releases it. You may view and download a released draft but not edit it on the Platform. Such work is governed by the Firm's Terms of Engagement and the fee agreed for it, not by Part B.

Part C: Retainer plans

12. What a Plan is, and is not

12.1 A retainer plan ("Plan") gives your business a set number of agreement drafts each month ("Kuota") for a fee paid in advance, and a lower price for lawyer review of drafts made in the Platform. Plans suit businesses that need two or more agreements a month.

12.2 A Plan covers agreement drafts on the Platform and the other benefits in this Part. It does not include reviewing your drafts, advising on your deals, drafting outside the catalogue, negotiating, or representing you, except that the support group in clause 16.2 gives you access to our lawyers by phone for general legal questions. Clause 2 applies to every draft made under a Plan: each one is a general first draft and not legal advice.

13. The plans and prices

13.1 The Plans, their prices and what each includes are shown on the Plans page of the Platform. At the date of these Terms they are:

PlanRight forKuota each monthPay monthlyPay yearly, upfront (10% off)
Lite1 to 3 agreements a month2 draftsRM299 a monthRM3,229.20 a year
Starter4 to 8 agreements a month5 draftsRM599 a monthRM6,469.20 a year
Growth9 to 20 agreements a month12 draftsRM1,299 a monthRM14,029.20 a year

13.2 All prices include SST. Every Plan, Lite included, can be paid monthly or yearly. Yearly Plans are paid in full upfront, and still give you the kuota month by month.

13.3 At the date of these Terms, an extra draft costs RM250 on Lite and RM199 on Starter and Growth, and lawyer review of a draft made in the Platform costs RM599 for a Plan member (clause 16.1). Growth includes the support group in clause 16.2.

13.4 Enterprise is for businesses that need about 20 or more agreements a month. Our team sets up an Enterprise Plan with you in writing (clause 18.8).

13.5 Our team may show a Plan as "most popular", or hide a Plan from new sign-ups. Hiding a Plan does not change the Plan of a client who is already on it.

13.6 The price, kuota and benefits that apply to you are the ones shown to you when you join and confirmed in writing (clause 14.4). If the Plans page and your confirmation differ, your confirmation wins.

14. Joining a Plan

14.1 You can join online from My plan. Sign in, choose your Plan and how you want to pay, tick the box that the fee is paid in advance and is not refundable, and pay through CHIP, our payment provider.

14.2 A Plan starts only when its payment is confirmed. A Plan is never active without a payment. Our team may also start a Plan when it records a payment received by bank transfer, or a payment made through a CHIP link we sent you.

14.3 You can ask for a Plan from My plan. Our team then contacts you to confirm the right Plan, the start date and how to pay. Nothing is charged until you agree.

14.4 The order and our written confirmation state your Plan, billing, price, kuota, free reissues, your renewal date and any benefit or discount agreed. They form part of these Terms.

14.5 Plans are for businesses. The person joining confirms that they are authorised to commit the business to the Plan and its fees.

14.6 You may have one Plan at a time.

14.7 We may decline a Plan application, for example where there is a conflict of interest, where our onboarding checks are not completed, or where the business is outside the scope of the Platform.

15. Kuota: how it works

15.1 One Kuota is one draft of any agreement in our catalogue, for any counterparty. It does not matter whether it is your first NDA or your twelfth Service Agreement.

15.2 You use a Kuota on the pay screen. When you start a draft, you choose "Use 1 kuota" instead of paying for it. The Kuota is used when the draft starts. The draft then follows Part B in every other respect: the detail questions, the 60-day window, confirming and downloading.

15.3 Kuota counts from your Plan's start day each month, not the calendar month. On a yearly Plan you still receive your Kuota month by month: Starter gives 5 drafts every month, not 60 on the first day.

15.4 Unused Kuota expires at the end of each monthly period and does not roll over. No refund or credit is given for unused Kuota.

15.5 A started draft keeps its Kuota. If you do not confirm a draft within 60 days, the draft expires and the Kuota is lost. It is not returned.

15.6 When your Kuota for the month is used up, you may buy an extra draft at the extra-draft price for your Plan, or upgrade (clause 18.1). An extra draft is paid when you start it and follows Part B. Extra drafts you buy are for that month only.

15.7 Kuota and extra drafts cover drafts only. Reissues are separate (Part D) and lawyer review is an add-on (clause 16.1).

15.8 Kuota belongs to the business that holds the Plan. It may be used by people in that business's organisation on the Platform. It cannot be transferred, sold or shared with another business, and it cannot be used to draft agreements for third parties as a service.

16. Lawyer review and the support group

16.1 Lawyer review of a draft. A Plan member may add a lawyer review to a draft made in the Platform at the member price of RM599, on every Plan. Without a Plan the price is RM899. Lawyer review is an add-on to the draft. It is not covered by Kuota, and you choose and pay for it when you start the draft. You see the draft straight away. A lawyer then speaks with you and confirms whether the draft is correct. Part E applies to the session.

16.2 Support group (Growth only). A Growth Plan includes a support group. Through it you can reach our team by phone for legal advice on general legal questions, so that you are sure of your next step. This support:

  • is on a fair usage basis, whenever our team is free and available. There is no fixed number of calls or minutes, and we do not promise opening hours or response times;
  • is not limited to agreements made on the Platform;
  • does not include reviewing documents, drafting, written opinions, negotiation or representation. Where your question needs that work, we tell you and offer a quote or a consultation;
  • may be limited or paused where usage is excessive, or where a conflict of interest arises.

16.3 Review of an agreement that was not made in the Platform is quoted case by case, starts at RM1,499, and is governed by the Firm's Terms of Engagement (clause 22.6).

17. Payments and renewals

17.1 Payments are made through CHIP, our payment provider, or by bank transfer that our team records. We never ask for or keep your full card numbers.

17.2 Yearly Plans are paid in one payment for the whole year, by card or FPX. No saved card is needed.

17.3 Monthly Plans are paid each month. You can pay the monthly fee online from My plan, or we send you a CHIP payment link and record the payment once it is received. Automatic monthly charging is not offered at present. Your Plan runs for each month once its payment is received.

17.4 Payment not received. If a monthly payment is not received by the renewal date, your Plan is suspended at once. While it is suspended your Kuota is zero, you cannot reissue a template, and drafts are charged at the normal price until the payment is made. Paying again starts a new monthly period from the day it is paid. Drafts you have already started can still be finished within their own 60-day window. We may end a Plan that stays unpaid.

17.5 Before a yearly Plan ends, we send you a reminder.

17.6 Your Plan renews at the price, kuota and benefits in force for your Plan at renewal, as clause 18.4 explains.

18. Changing, cancelling and ending a Plan

18.1 Upgrade any time. You can move to a bigger Plan at any time, online from My plan. You pay only the difference for the time left in your current period, and your end date stays the same. The new Kuota applies from the upgrade, less the drafts you have already used that month.

18.2 Downgrade at renewal only. You can move to a smaller Plan from your next renewal date. A downgrade does not take effect in the middle of a period.

18.3 Cancelling. You can cancel at any time by emailing help@ascolaw.co or through My plan where that option is available. Cancelling stops the next payment. Your Plan, Kuota and reissues continue until the end of the period you have already paid for, then stop. Drafts already started can still be finished within their own 60-day window. Nothing is refunded for the current period.

18.4 Your terms stay as confirmed. For as long as your Plan runs, you keep the price, Kuota, free reissues and benefits confirmed when you joined. New prices apply to new sign-ups, and to a renewal. We tell you before a new price applies at renewal.

18.5 Lower prices. We may sometimes offer a Plan at a lower price, confirmed to you in writing.

18.6 A Plan that has ended. To join again, you choose from the Plans on offer at that time.

18.7 Refunds. Plan fees are not refundable, except that if we end your Plan other than for your breach or non-payment, we refund the unused part of the period you have paid for, pro rata to the months remaining. This is the only refund of Plan fees we give.

18.8 Enterprise Plans are agreed in writing case by case. The written agreement sets the Kuota, fee, term and any extra terms, and these Terms apply to everything it does not cover.

18.9 Ending by us. We may suspend or end your Plan at once if you breach these Terms, if a payment is not made (clause 17.4), if a conflict of interest arises that we cannot manage, or if we are required to by law or by our professional rules.

18.10 Savings shown on the Platform are illustrations based on the pay-per-draft price and full use of Kuota. They are the most you could save, not a promise.

Part D: Templates and reissues

19. Saving a template and reissuing

19.1 Anyone in your business can save a generated agreement as a template. A template is pinned to the version of the agreement it was generated on.

19.2 Reissuing means using a saved template again for a new party. Every answer is carried over except the other party, which starts blank. You can change any answer before you confirm. Your side is filled from the saved profile of the person reissuing, or from the template's answers if that profile is empty. The draft then follows Part B.

19.3 Reissuing needs an active Plan. Only your business, through a person in it, can reissue a template you saved. The other party receives only the Word file.

19.4 If we publish a newer version of an agreement, we tell you in the Platform. You can keep reissuing on the version you have, or start a new draft on the newer one. We may withdraw a version, and a withdrawn version cannot be reissued.

20. Hidden templates

20.1 Without an active Plan, a template is hidden from your account 60 days after it was saved. If your Plan ended after that, the 60 days run from the day it ended.

20.2 A hidden template is kept on record and is never deleted. It comes back when you join a Plan again.

21. Reissue allowance

21.1 Reissues are counted separately from Kuota, in one pool for your business. Each time you reissue a template, one reissue is used.

21.2 Free reissues. When your first Plan starts, your business receives a set number of free reissues, 10 on each Plan at the date of these Terms. They are given once and do not reset each month.

21.3 Top-up packs. On an active Plan you can buy more reissues in packs through CHIP, at the price shown on My plan (25 reissues for RM100 at the date of these Terms).

21.4 Pack reissues after a Plan ends. Reissues from packs are kept for 12 months after your Plan ends, in case you join a Plan again within that time. Free reissues are not given again.

21.5 A paused Plan. While your Plan is suspended under clause 17.4, you cannot reissue until the payment is made.

Part E: Lawyer review and consultations

22. Lawyer review session

22.1 Generate agreement + lawyer review gives you everything in a draft, plus a session in which a lawyer from the Firm goes through your actual answers and your draft with you, and confirms whether the draft is correct. You book the session through your account once your draft is ready, at a time offered to you.

22.2 The lawyer review is a limited-scope legal engagement: its scope is the draft you generated and the answers behind it. It does not include advising on your wider business, negotiating with the other side, redrafting outside the Platform's clauses, or follow-up work, unless we agree that separately and quote for it. The Firm's Terms of Engagement apply.

22.3 Before the session we carry out the checks our professional rules require, including a conflict check. If a conflict or another professional reason means we cannot act, we tell you and refund the lawyer review part of your fee. The draft itself is not affected.

22.4 Rescheduling. You may reschedule a session up to one working day before it starts. If you miss a session without notice, or cancel later than that, we may treat the session as used, or offer one new time at our discretion.

22.5 The lawyer review fee is paid with the draft and is otherwise not refundable. It is not part of any Plan Kuota.

22.6 We may also review an agreement that was not made on the Platform. That starts at RM1,499 and is quoted case by case under the Firm's Terms of Engagement, not these Terms.

23. Consultations

23.1 Where the Platform offers Book a consultation, the request form is hosted by our customer relationship partner. Sending the form is a request only. A member of our team contacts you to confirm the scope, the lawyer and the fee.

23.2 A consultation is a separate engagement with the Firm, governed by the Firm's Terms of Engagement and the fee we confirm to you. Sending the form does not create a solicitor and client relationship, and nothing is charged until you agree.

Part F: General terms

24. Intellectual property

24.1 The Platform, its software, its questions and rules, the clause library in both languages, the agreement outlines, the Agreement Finder, the designs and the Legal That Works and Messrs Akmal Saufi & Co names and logos belong to the Firm or its licensors. All rights are reserved.

24.2 We grant you a non-exclusive, non-transferable licence to use each draft you have paid for (or used Kuota or a reissue for) in the ordinary course of your own business, including editing it and sharing it with the other party and your advisers.

24.3 You may not copy, scrape, extract, reverse engineer or systematically download the clause library, questions or rules; remove our notices from a draft; or use the Platform or any draft to create templates, a clause bank or a competing service, whether for yourself or for others.

25. Acceptable use

25.1 You agree not to:

  • use the Platform for anything unlawful, or to prepare an agreement for an unlawful purpose;
  • give false information about yourself, your business or any other party;
  • use the Platform on behalf of third parties as a drafting service;
  • interfere with the Platform's security or operation, probe it for weaknesses, or access it by automated means except as we allow;
  • use another person's account or share your one-time codes.

25.2 We may suspend or close an account, cancel drafts, withdraw templates and end Plans where these Terms are breached. Fees paid are not refunded in that case.

26. Availability, changes and support

26.1 We aim to keep the Platform available at all times but cannot guarantee it. We may take it down for maintenance or to fix problems. Where your 60-day window is materially affected by an outage on our side, we extend it for the time lost.

26.2 We may change the catalogue, the questions, the clauses, the prices and the Platform's features at any time. Changes do not affect a draft you have already paid for, except to correct an error or to comply with the law. A draft you have already downloaded is never changed.

26.3 Support is by email at help@ascolaw.co, Monday to Friday, 8.30am to 5.30pm, excluding public holidays.

27. Payments, taxes and receipts

27.1 Payments are processed by a third-party payment provider. Their terms apply to the payment itself. We do not receive your full card details.

27.2 All prices include SST at the rate in force when you pay, and your receipt shows the price before SST and the SST separately. If the SST rate changes, the price shown on the Platform changes with it.

27.3 Receipts are available in your account or on request by email.

27.4 Offers. From time to time we may offer a lower price. An offer applies only as shown with it, and only one offer applies to a payment. We may change or end an offer at any time; a payment already made is not affected.

28. Personal data and confidentiality

28.1 We handle your personal data in line with our Privacy Policy and the Personal Data Protection Act 2010. The information you enter to build a draft is processed to build that draft, to run your account and to provide the services, and is shared only as the Privacy Policy describes.

28.2 You are asked to agree to the Privacy Policy at your first sign-in and again when a new version asks for it. We keep a record of each choice you make, with the words shown to you, the language and the time. Email news and offers are a separate, optional choice that you can change at any time on My profile.

28.3 Our lawyers treat what you tell them in a lawyer review session, a consultation or a support call as confidential in line with their professional duties. Answers you enter to generate a draft without a lawyer review are handled under the Privacy Policy but are not communications with a lawyer for the purpose of legal advice.

28.4 Questions about personal data go to pdpa@ascolaw.co.

29. Our responsibility to you

29.1 We are responsible for delivering the draft you paid for, built from your confirmed answers, as described in these Terms, and for providing the lawyer review, consultation, support or Plan features you have paid for with reasonable care and skill.

29.2 We are not responsible for:

  • a draft that does not suit your circumstances, where you did not add a lawyer review or get legal advice before relying on it;
  • the consequences of answers that were wrong, incomplete or out of date;
  • foreign law, or licensing or regulatory rules, which we have not checked (clause 2.5);
  • the conduct of the other party to your agreement, or whether they sign;
  • loss of profit, loss of business, loss of a deal, or any indirect or consequential loss;
  • failures caused by your email, your device, your internet connection or a third-party service outside our control.

29.3 Limit. Except for liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud), our total liability to you arising from the Platform and the services in any 12-month period is limited to the fees you paid us for the service that gave rise to the claim in that period: for a draft, the price of that draft; for a Plan, the Plan fees paid in those 12 months; for a lawyer review or consultation, the fee for that engagement.

29.4 Nothing in these Terms excludes or limits any right you have under the Consumer Protection Act 1999 or other law that cannot be excluded by agreement, where that law applies to you.

29.5 The Firm carries professional indemnity insurance as required by the Malaysian Bar for the legal services it provides.

30. Complaints

30.1 If something has gone wrong, email help@ascolaw.co with your agreement reference, template or Plan details. We acknowledge complaints within two working days and aim to resolve them within 14 days.

30.2 Complaints about the professional conduct of a lawyer may also be made to the Malaysian Bar Council.

31. Changes to these Terms

31.1 We may update these Terms. Each version has a version number and a last-updated date. We publish the current version on the Platform, and where a change is material we tell you in the Platform or by email and, where our systems ask for it, ask you to agree again before you continue.

31.2 The version you agreed to when you paid for a draft or joined a Plan continues to govern that draft or that Plan period, unless a change is required by law or is to your benefit. A renewal of a Plan is made on the Terms current at renewal.

32. Governing law and disputes

32.1 These Terms and any dispute arising from them are governed by the laws of Malaysia.

32.2 The courts of Malaysia have exclusive jurisdiction. Before starting any proceedings, both sides agree to try to resolve the dispute through the complaints process in clause 30.

33. Other terms

33.1 These Terms, your acknowledgements and the written confirmations referred to in them, together with the Privacy Policy and, where it applies, the Terms of Engagement, are the whole agreement between you and us about the Platform.

33.2 If any part of these Terms is found to be invalid, the rest continues to apply.

33.3 If we do not enforce a term straight away, we have not given up the right to enforce it later.

33.4 You may not transfer your account, your drafts in progress, your templates or your Plan to another person or business without our written consent. We may transfer our rights and duties to a successor of the Firm's business on notice to you.

33.5 Notices to you are sent to your account email. Notices to us go to help@ascolaw.co, or by post to our Kuala Lumpur office.

Part G: E-signing

34. What e-signing is

34.1 E-signing lets you send an agreement made on the Platform, or your own A4 PDF, for people to sign electronically. Each person opens a private link sent to their email address, confirms a one-time code, agrees to sign electronically and signs. When everyone has signed, we seal the document with a Signing Record and email the signed file to everyone.

34.2 This is an electronic signature under the Electronic Commerce Act 2006. It is not a digital signature under the Digital Signature Act 1997.

34.3 Some documents cannot be signed electronically in Malaysia, such as a power of attorney, a will or codicil, a trust, and a negotiable instrument (a cheque, bill of exchange or promissory note). Some dealings, such as land dealings, may need a handwritten signature. Where a law requires a company seal, an electronic signature does not replace it. You decide whether e-signing suits your document.

35. Your own documents

35.1 We do not read, check or advise on a PDF you upload. We did not prepare it and are not responsible for its content, its legal effect or whether it suits your purpose. If you want advice on it, book a lawyer review or a consultation.

35.2 You confirm that you may upload the document and share it with the people you ask to sign, and that you may give us their names and email addresses.

35.3 An upload must be an A4 PDF within the size and page limits shown on the Upload screen. An upload not paid for within 7 days is deleted.

36. Prices and payment

36.1 E-signing prices are shown before you pay and include SST. You pay before the signing emails are sent, unless a plan, monthly e-sign or a document pack covers the send; Pay shows what covers it. Promo codes apply to e-signing only where the code says so.

36.2 Monthly e-sign gives a set number of documents each month. It is paid monthly in advance and is not refundable. Unused documents do not carry over. It renews each month until cancelled. A new price applies only from a month that starts at least 7 days after we tell you by email.

36.3 Document packs are set up with our team. A pack is paid in advance and is not refundable. Use its documents within 12 months of paying; unused documents then expire.

36.4 E-signing with your draft. When you pay for a draft, you may add e-signing for that agreement at the price shown.

37. Sending, declines and expiry

37.1 A signing request stays open for the number of days shown when you send it, then it expires.

37.2 There is no refund if a person declines, a request expires, or you stop a request. After a decline or an expiry you may resend the same document once, free; you may change the people, their email addresses and the signing boxes.

37.3 Check the email addresses you give us. We are not responsible if a person does not receive a signing email because an address is wrong.

38. Signed documents

38.1 We keep each signed document and its Signing Record for 7 years from signing. Download and keep your own copy.

38.2 Anyone holding a signed file can check at legalthatworks.com/verify that it has not been changed since it was sealed.

38.3 An e-signed document may still need to be stamped under the Stamp Act 1949. Stamping, and doing it on time, is your responsibility.
